One Click Contract: Content Licensing Agreement

1 Click - Content Licensing Agreement-16

Each week, PactSafe will discuss and post about specific standardized agreements and how they can be turned into one-click contracts. Last week, we covered Return Policy. This week, we're focusing on the Content Licensing Agreement: what it is, why its typical signing method isn't ideal, and how it can be turned into a one click contract on the PactSafe platform.

What is a 1-click contract?

A one click contract is like any other contract, but it’s presented in a way that allows the person signing it to do so by simply clicking on it. With very few exceptions, any contract can be signed with a single click on a website, from a phone, in an email — anywhere you meet your customers digitally, you can deliver a 1-click contract.

What is a Content Licensing Agreement?

A content licensing agreement is a contract between two parties in which one party (the licensor) grants the other party (the licensee) the rights (a license) to use some content originally owned by the licensor. This agreement will usually specify how, where, and in what context that content may be used.

Who signs it?

This type of agreement is signed by someone who is allowing the use of property owned by them.

How is it typically signed?

It is usually signed via means of pen, paper, and scanners (oh my 😵!), or eSignature, and your favorite, email.

Why is this signing method not ideal?

Emailing back and forth via means of traditional eSignature is annoying itself. For example, assuming you pay for access to Acrobat Pro to digitally sign. Then, you compress to get the PDF small enough to send as an attachment. However, the execution of said agreement is usually a separate process than actually transferring the property. How do you get the content to the other people? That’s another email email chain!

With PactSafe, you can do both at once, all with one link.

How to turn a Content Licensing Agreement into a 1-click Contract

How does a Content Licensing Agreement work as a 1-click contract?

With PactSafe, all the person who wants to submit and grant use of the content needs to do is click a link, and they can do both from their phone!

Why does a Content Licensing Agreement work better as a 1-click contract?

Normal signing methods force the user to actually transfer the license via other means (e.g. a separate email thread, physical delivery, etc). With PactSafe, all of that can be done in one click, either chained off of events via our API, or by leveraging the PactSafe platform itself to help transfer digital assets at time of acceptance.

Is a 1-click contract legally binding?

1-click contracts are absolutely binding. Also known as “clickwraps,” courts have enforced millions of contracts accepted by a single click. PactSafe’s platform was built to help ensure 1-click contracts are created in compliance with all the best practices established in 1000’s of court cases over the past 20+ years.
